10.3 Alternative Dispute Resolution

Before commencing legal proceedings, both parties agree to attempt to resolve any dispute through good faith negotiation for a period of 30 days following written notice of the dispute. If negotiation fails to resolve the dispute, either party may refer it to mediation through the Centre for Effective Dispute Resolution (CEDR) before commencing litigation. Participation in mediation shall be without prejudice to either party's legal rights.

10.4 Class Action Waiver

To the extent permitted by applicable law, any dispute arising in connection with the Website must be brought by you in your individual capacity and not as part of any class or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, it shall be severed from the Terms. Such invalidity, illegality, or unenforceability shall not affect the remaining provisions of the Terms, which shall continue in full force and effect.

No failure or delay by Lumino Capital in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. A waiver of any right must be given in writing and signed by an authorised representative of Lumino Capital. A waiver of a right in a particular instance does not waive that right in any future instance.

16. Assignment

You may not assign, transfer, or sub-licence your rights or obligations under these Terms without our prior written consent. We reserve the right to assign our rights and obligations under these Terms to any affiliate, successor entity, or third party in connection with a merger, acquisition, or sale of our business.

Investments in venture capital funds involve significant risk, including the risk of total loss of invested capital. Past performance is not a reliable indicator of future results.
